JustLabs Terms of Service

These Terms of Service ("Terms") govern your access to and use of the JustLabs website, applications, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. About JustLabs

JustLabs is a consumer health platform that enables individuals to order laboratory tests and receive their results directly from independent third-party laboratories.

2. Eligibility

You must be at least 18 years old and legally capable of entering into these Terms to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. Services Provided

The Services allow users to:

• Select and purchase laboratory tests
• Facilitate laboratory test orders through third-party laboratories and independent ordering providers
• Receive laboratory test results
• Access educational information related to laboratory testing

All information provided through the Services is for informational purposes only and should not be considered medical advice.

4. Laboratory Orders and Results

Certain laboratory tests require authorization by a licensed healthcare professional. When required, such authorization is provided by independent third-party providers and does not create a treatment relationship with JustLabs.

Laboratory results are generated by third-party laboratories and provided without interpretation. You are responsible for consulting a qualified healthcare professional regarding your results.

5. No Medical Advice

Nothing on the Services constitutes medical advice, diagnosis, or treatment. You should not rely on information from the Services in place of professional medical care. In the event of a medical emergency, contact emergency services immediately.

6. HIPAA and Privacy

Your health information is protected under the Health Insurance Portability and Accountability Act (HIPAA). By using our Services, you acknowledge receipt of our Notice of Privacy Practices. We maintain appropriate safeguards for your protected health information.

Your use of the Services is also governed by our Privacy & Health Data Protection Notice, which is incorporated into these Terms by reference and describes how we collect, use, and protect information.

7. Relationship to Healthcare Providers

JustLabs operates independently from healthcare providers and telehealth practices. Any relationship you establish with a healthcare provider based on your use of the Services is separate from JustLabs and governed by that provider's own terms and privacy practices.

8. User Responsibilities

You agree to provide accurate, complete, and current information when using the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

9. Payments and Refunds

Prices for laboratory tests are disclosed at the time of purchase. All payments are processed through third-party payment processors. Refunds, if any, are subject to our refund policy and the policies of our laboratory and service partners.

10. Referral & Rewards Program

JustLabs may offer a referral and rewards program (the "Referral Program") through which eligible users may share a personal referral link or an eligible laboratory-test panel they create. The Referral Program offers promotional discounts for eligible self-pay purchases of laboratory tests. It is not a commission, fee, or other compensation for referring patients or for arranging federally or state-funded healthcare business, and it is not available in connection with tests paid for by insurance or any federal or state healthcare program. Participation is voluntary and subject to these Terms and any additional program rules that JustLabs may publish.

• Eligibility. Referral rewards and discounts are available only for self-pay purchases of laboratory tests for the purchaser or, where permitted by JustLabs, the purchaser's dependent minor child. A "new customer" is a person who has not previously placed a paid order with JustLabs. Tests may not be purchased for resale, redistribution, commercial use, or for any person other than the purchaser or an authorized dependent. Referral rewards and discounts are not available in connection with any federal or state healthcare program (including Medicare or Medicaid) or with tests billed to insurance.
• Qualifying Order. A "Qualifying Order" means a referred new customer's first self-pay order for laboratory tests that is paid in full, processed through JustLabs, not cancelled, refunded, disputed, charged back, or otherwise reversed, and that otherwise complies with these Terms and any applicable program rules. An order is counted after payment has cleared and any applicable refund window has passed.
• Discount for a referred customer. A new customer who begins their first order through a valid referral link or shared panel receives a one-time discount of 10% off the laboratory-test subtotal of that first order, up to a maximum discount of $50. The discount applies to laboratory test prices only and does not apply to the lab collection fee, the physician or clinician order fee, taxes, or other charges. It is applied automatically at checkout and may not be combined with other first-order offers.
• Reward for the referring user. Each Qualifying Order earns the referring user one promotional reward equal to 10% off the laboratory-test subtotal of one future eligible self-pay order, up to a maximum discount of $50 per reward. Rewards apply to laboratory test prices only (excluding fees and taxes), are applied automatically at checkout, and are limited to one reward per order (rewards do not stack). If the laboratory-test subtotal of the future order is less than the reward's maximum value, the reward applies only to that subtotal and any remaining value is not refunded or carried over.
• Reversals. If a Qualifying Order, or an order in which a reward or discount was used, is later refunded, cancelled, disputed, or charged back, the related reward and/or discount may be reversed, revoked, or deducted from your account.
• No cash value. Rewards and discounts have no cash value, are not redeemable for cash, are non-transferable, and may not be sold, transferred, or combined except as we expressly permit. They are personal to your account.
• Limits and expiration. We may limit the number of rewards you can earn and may impose other reasonable limits. Referral links do not expire unless we deactivate them, and earned rewards do not expire except where we revoke them as described in these Terms. Rewards remain subject to the Referral Program being available, and if we discontinue or change the Referral Program, outstanding rewards may be converted, limited, or discontinued as permitted by applicable law.
• Attribution. Whether a purchase is credited to your referral depends on the referred person using your link and our systems recording that attribution before an account is created. Attribution may expire if the referred customer does not create an account or place a Qualifying Order within the timeframe we apply for the Referral Program. Our determination of attribution is final, except in the case of a clear technical error confirmed by JustLabs. We are not responsible for attribution that does not occur due to browser settings, use of different devices, ad or cookie blockers, or similar factors.
• Shared panels and content. Any laboratory-test panel, list, or other content you create and share is provided for general informational purposes only, is not medical advice, and is not recommended, endorsed, or clinically reviewed by JustLabs unless we expressly state otherwise. You may not make false, misleading, unsubstantiated, or individualized medical, diagnostic, treatment, prevention, fertility, weight-loss, or disease-related claims about any laboratory test, panel, biomarker, or result, and you may not represent that a panel is medically necessary, appropriate for a particular person, or endorsed by a clinician or JustLabs unless that is true and expressly authorized by JustLabs.
• Disclosure. If you share a referral link or panel publicly, you must clearly and conspicuously disclose that you may receive a promotional reward if someone makes a qualifying purchase through your link or panel. The disclosure must appear near the endorsement or link and must not be buried in a profile, footer, hashtag block, or separate page. An acceptable disclosure is: "I may receive a JustLabs reward if you make a qualifying purchase through this link."
• Invitations and messaging. You may send referral invitations only to people with whom you have a personal relationship or who have expressly agreed to receive them. You may not send bulk, automated, deceptive, or unsolicited commercial messages, or use purchased, rented, scraped, or harvested contact lists, and you must comply with all applicable anti-spam and messaging laws.
• Prohibited uses. You may not: (a) create or use multiple accounts to obtain rewards; (b) refer yourself, members of your household, or persons acting at your direction; (c) use paid search, paid social advertising, coupon or deal sites, browser extensions, or misleading domain names without our written approval; (d) bid on JustLabs trademarks or confusingly similar terms; (e) make health claims not authorized by JustLabs; (f) represent yourself as an employee, clinician, agent, or authorized representative of JustLabs; or (g) use the Referral Program in any way that violates applicable law or another platform's rules.
• Fraud, abuse, and changes. We may withhold, void, or reverse rewards and discounts, and may suspend or terminate your participation, if we suspect fraud, abuse, self-referral, account manipulation, or any violation of these Terms or applicable law. We may modify, suspend, or discontinue the Referral Program, or change its rewards, discounts, and rules, at any time, with or without notice.
• Taxes. You are responsible for any taxes that may apply to rewards or discounts you receive.

11. Intellectual Property

All content, trademarks, logos, and software associated with the Services are owned by or licensed to JustLabs and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

You agree to indemnify and hold harmless JustLabs and its affiliates, officers, directors, employees, and partners from any claims, damages, liabilities, and expenses arising from your use of the Services or violation of these Terms.

15. Changes to These Terms

We may update these Terms from time to time. Updates will be posted with a revised effective date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
